These Softinn API Terms of Use ("API Terms") govern access to and use of the application programming interfaces made available by Softinn Solutions Sdn Bhd ("Softinn", "We", "Us", or "Our"), including but not limited to the Reservation Engine, Property Management System (PMS), Booking Engine, and Channel Manager APIs (collectively, the "API"), by any company, developer, or third party that is not itself a Softinn hotel/accommodation subscriber under the Softinn SaaS Customer Terms of Service ("Recipient", "You", or "Your"). These API Terms are distinct from, and apply in addition to, (a) the Softinn SaaS Customer Terms of Service (which governs hotels and accommodation providers subscribing to Softinn's core software), (b) any Non-Disclosure Agreement between Softinn and the Recipient ("NDA"), and (c) any applicable Fee Schedule issued by Softinn ("Fee Schedule"). In the event of any conflict between these API Terms and the NDA or Fee Schedule on matters within their respective scope, the more specific document shall prevail on that matter.
How You Accept These Terms
No signature is required for these API Terms to take effect. By requesting API access, receiving API Credentials, accessing the Swagger/API documentation for authenticated use, or making any call to the API, You acknowledge that You have read, understood, and agree to be bound by these API Terms, whether or not You have separately signed a copy. If You do not agree to these API Terms, You must not request or use API access.
1. Definitions
"API Credentials" means any API key, token, client ID/secret, username, password, or other authentication mechanism issued by Softinn to enable access to the API. "Application" means any software, product, system, or service developed or operated by the Recipient that accesses or calls the API. "Authorised Purpose" means the specific integration purpose disclosed by the Recipient and approved by Softinn at the time of API access approval (e.g. loyalty membership lookups, reporting integration). "End User Data" means any booking, reservation, payment, guest, or hotel data accessed via the API. "Confidential Information" has the meaning given in the NDA.
2. Registration and Approval
Access to production API Credentials is granted at Softinn's sole discretion, following (a) submission of an access request describing the Application and the Authorised Purpose, (b) acceptance of an NDA where required by Softinn (which may be accepted electronically, by conduct, or by signature, as set out in the NDA itself), and (c) any additional verification Softinn deems necessary. Softinn may decline, delay, or condition approval of any access request without being obliged to give reasons, and may revisit and revoke approval if the actual use of the API materially differs from the Authorised Purpose disclosed at approval.
3. Scope of Access
Access to the API is granted solely for the Authorised Purpose. You shall not use the API, API Credentials, or any End User Data obtained through the API for any purpose other than the Authorised Purpose, and shall not use the API to build, operate, or support any product or service that competes with Softinn's own products without Softinn's prior written consent.
4. Prohibited Uses
Without limiting Clause 3, You shall not, and shall not permit any third party to:
- Sell, sublicense, rent, lease, or otherwise provide API access or API Credentials to any third party;
- Reverse engineer, decompile, or attempt to derive the source code or underlying structure of the API or Softinn's systems;
- Use the API to scrape, bulk export, or aggregate End User Data beyond what is reasonably required for the Authorised Purpose;
- Circumvent, disable, or interfere with rate limits, authentication, or other security or access-control features of the API;
- Use the API in a manner that places an unreasonable or disproportionate load on Softinn's infrastructure; or
- Use the API for any unlawful purpose, or in breach of any applicable law or regulation, including data protection law.
5. Rate Limits and Fees
API usage is subject to the volume tiers, rate limits, and applicable fees (if any) set out in the Fee Schedule issued to You by Softinn, as may be updated from time to time on notice. Softinn may throttle, rate-limit, or temporarily suspend access without liability where usage exceeds the applicable tier or where Softinn reasonably believes usage is abusive or anomalous.
6. Data Protection and Security
You shall comply with the Malaysian Personal Data Protection Act 2010 and any other applicable data protection law in respect of any End User Data accessed via the API. You shall implement and maintain reasonable technical and organisational security measures to protect API Credentials and End User Data against unauthorised access, use, or disclosure. You shall notify Softinn in writing without undue delay, and in any event within forty-eight (48) hours, upon becoming aware of any actual or suspected unauthorised access to API Credentials or any data breach involving End User Data obtained via the API. You shall retain End User Data only for as long as reasonably necessary for the Authorised Purpose and shall delete or return such data upon Softinn's request or upon termination of Your API access.
7. Confidentiality
The confidentiality obligations set out in the NDA shall apply to all Confidential Information exchanged in connection with these API Terms. Where no NDA has been signed, You agree to treat API Credentials, this integration's technical details, and any non-public information disclosed by Softinn as confidential, using at least a reasonable degree of care, and not to disclose such information to any third party without Softinn's prior written consent.
8. Intellectual Property
As between the Parties, Softinn retains all right, title, and interest in and to the API, its documentation, and all associated intellectual property. Nothing in these API Terms transfers any ownership interest to You. You retain ownership of Your Application, save that any feedback, suggestions, or improvement ideas You provide to Softinn regarding the API may be used by Softinn without restriction or compensation.
9. No Warranty
The API is provided "as is" and "as available", without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Softinn does not warrant that the API will be uninterrupted, error-free, or available at all times, and may modify, suspend, or discontinue the API (in whole or in part) at any time, with reasonable notice where practicable.
10. Limitation of Liability
To the maximum extent permitted by law, Softinn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue, profits, business, or data, arising out of or in connection with Your use of, or inability to use, the API. Softinn's aggregate liability arising out of or in connection with these API Terms shall not exceed the total fees paid by You to Softinn under the applicable Fee Schedule in the three (3) months preceding the event giving rise to the claim, or RM 1,000, whichever is higher.
11. Indemnification
You shall indemnify, defend, and hold harmless Softinn, its directors, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Your breach of these API Terms; (b) Your Application's use of the API or End User Data; (c) any violation of applicable law by You in connection with the API; or (d) any claim by an end guest, hotel, or third party arising from Your Application.
12. Suspension and Termination
Softinn may suspend or terminate Your API access, in whole or in part, immediately and without liability, if: (a) You breach any provision of these API Terms, the NDA, or the Fee Schedule; (b) Softinn reasonably suspects fraud, abuse, or a security risk; (c) required by law or by a competent authority; or (d) fees due under the Fee Schedule remain unpaid beyond the applicable grace period. You may terminate Your API access at any time by providing Softinn with fourteen (14) days' written notice and ceasing all use of the API. Clauses 4, 6, 7, 8, 9, 10, and 11 shall survive termination of these API Terms.
13. Audit Rights
Softinn may monitor API usage patterns and request reasonable information from You to verify compliance with these API Terms, including the Authorised Purpose and applicable volume tier. You shall cooperate with any such reasonable request within a reasonable time.
14. Amendments
Softinn may amend these API Terms from time to time by posting the updated version at the published URL and updating the "Last Updated" date, and, where Softinn holds contact details for the Recipient, by providing at least thirty (30) days' written notice to those contact details. Continued use of the API after the effective date of any amendment constitutes acceptance of the amended API Terms. If You do not agree to an amendment, Your sole remedy is to cease using the API and terminate access in accordance with Clause 12.
15. Governing Law and Jurisdiction
These API Terms shall be governed by and construed in accordance with the laws of Malaysia. The Parties submit to the exclusive jurisdiction of the courts of Malaysia in respect of any dispute arising out of or in connection with these API Terms.
16. General
These API Terms, together with any NDA accepted between the Parties and any applicable Fee Schedule, constitute the entire agreement between the Parties in respect of API access and supersede all prior discussions on the subject. You may not assign or transfer Your rights or obligations under these API Terms without Softinn's prior written consent. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. No failure or delay by Softinn in exercising any right under these API Terms shall operate as a waiver of that right.
